2. Description of Services

PingPlus provides AI-powered advertising and business growth services, including:

• AI agent advertising network — connecting businesses with customers' AI agents
• Automated translation of products and services into AI-ready protocols
• Performance-based campaign delivery and optimization
• Real-time analytics, reporting, and ROI tracking
• Autonomous campaign management and budget optimization

The Services are provided under a separate commercial agreement, order form, or service agreement.

3. Eligibility

PingPlus services are intended solely for business customers.

You represent and warrant that:

• You are entering into this agreement on behalf of a legal entity.
• You have authority to bind that entity to these Terms.

PingPlus does not provide services directly to individual consumers.

4. Customer Responsibilities

Customer is solely responsible for:

• Ensuring lawful collection of end-user data
• Obtaining necessary user consents
• Determining the purposes and legal basis of data processing
• Compliance with applicable data protection laws

PingPlus acts as a Data Processor and processes data solely under Customer instructions.

5. Data Processing

Data processing is governed by:

• This Agreement
• The Privacy Policy
• Any executed Data Processing Addendum (if applicable)

PingPlus:

• Does not sell customer data
• Does not train general-purpose AI models using customer data
• Processes data only within the customer's service environment

6. Fees and Payment

PingPlus operates on a performance-based pricing model. You are only charged when your specific goals are reached — whether that's a verified website visit, an app download, or a completed sale.

Fees, billing cycles, and payment terms are defined in the applicable Order Form or commercial agreement.

Failure to pay fees may result in suspension or termination of access.

7. Intellectual Property

PingPlus retains all rights, title, and interest in and to:

• The PingPlus platform
• AI systems and models
• Software and underlying technology

Customer retains ownership of all data submitted to the Services.

No rights are granted except as expressly stated in these Terms.

8. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed in connection with the Services.

Confidential information shall not be disclosed except:

• As required by law
• To authorized personnel under confidentiality obligations

9. Acceptable Use

Customer agrees not to:

• Use the Services for unlawful purposes
• Process sensitive personal data without appropriate safeguards
• Reverse engineer or attempt to extract underlying models
• Interfere with system integrity or security

10. Service Availability

PingPlus will use commercially reasonable efforts to maintain service availability.

However, Services may be interrupted due to:

• Maintenance
• Infrastructure issues
• Force majeure events

PingPlus does not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law:

PingPlus shall not be liable for:

• Indirect or consequential damages
• Loss of revenue or profits
• Loss of data

Total liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim.

12. Indemnification

Customer agrees to indemnify and hold harmless PingPlus from claims arising out of:

• Customer's unlawful data collection
• Violation of applicable laws
• Misuse of the Services

13. Termination

Either party may terminate the Services in accordance with the applicable commercial agreement.

Upon termination:

• Access to Services will cease
• Data will be deleted or returned per contractual obligations

14. Governing Law

These Terms shall be governed by the laws of Singapore.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Modifications

PingPlus may update these Terms from time to time.

Continued use of the Services constitutes acceptance of the updated Terms.
